These terms and conditions apply to all bookings made to stay at STAY OPEN, whether made via the website (including all areas of the site), applications and software provided online and made available offline through or in connection with the service, including through a mobile device (collectively, the “Service”), by email, over the telephone or in person on premises. They contain important information about your stay, workspace, and/or elective activities and we kindly ask that you read these carefully. If there is anything you would like to discuss regarding your booking or these terms and conditions, please don’t hesitate to contact us.

Types of Properties

Hospitality

STAY OPEN hospitality properties are for those seeking a short-term stay, akin to a hotel, but with a built-in, activated, community with shared common areas to dine, work, socialize and interact (“Hospitality”). Typical Guests include professionals, students, remote workers and digital nomads. Guests at our Hospitality properties can book a pod or private room (only available at certain properties) for one or more nights, at their preference, up to a maximum of 14 consecutive nights. Depending on time of year, Hospitality properties may require stays of a designated minimum duration (e.g. “3-night minimum” during summer months or holiday weeks). Such requirements will be stated on our website prior to booking.

Types of Accommodations

We typically offer two types of living quarters at Stay Open: Rooms and Pods. Some properties may only have Pods.

STAY OPEN is committed to accommodating room type preferences and requests. Occasionally, we receive more requests than are available at a particular STAY OPEN location. If this happens, every effort will be made to meet your accommodation preferences.

Rooms

“Rooms” are private individual rooms, with a maximum occupancy of two (2) adults and up to two (2) minor children. You may reserve as many Rooms as availability permits. Only available spaces will display during the booking process.

When making a reservation, certain types of Rooms enable you to select a bed type, typically a choice between one king size bed or two double beds. Choices vary depending on availability.

Pods

“Pods” are individual, private, bunk-style sleeping accommodations in shared hospitality spaces. Each individual Pod is customarily equipped with a privacy screen, fan, reading light and a place to plug in your electronic devices. As Pods are in shared spaces, depending on the configuration of the individual property, you may or may not be able to request for your Pod to be in an area with members of the same sex or opposite sex. When reserving a Pod, you will be asked a series of questions so that we can attempt to make your experience with us to your liking. Please note that while we have rules of conduct at STAY OPEN, we are not responsible for the conduct of our individual guests.

For our Venice Beach property, please note that bookings are limited to no more than 2 pods per reservation due to limited capacity.

Duration of Stay

Our accommodations can be reserved at our Hospitality properties for stays of varying lengths ranging from as short as one day to a maximum stay of 14 nights.

Rates may vary depending on length of stay and time of year and whether a Guest has entered into an Experience Provider Agreement with STAY OPEN.

Day Passes

Some of our Properties may also offer day-passes to use available co-working spaces. Day- passes do not include an overnight stay and will allow the guest access to the co-working facilities and common areas between 9am and 5pm, Monday through Friday with Federal Holidays excluded (“Day Pass(es)”). Day Passes are subject to availability and rates may vary.

Age Requirements

Guests under 21

Our Venice, California property is limited to guests 21 and over. If you are under 21 years of age and attempt to book accommodations or activities at such a property, such bookings will be cancelled.

Guests under 18

For all other Hospitality properties, please note that all guests under the age of 18 must be accompanied by adults during their stay. We reserve the right to refuse entry to a STAY OPEN property to anyone who is under the age of 18.

Activities

Age requirements, if any, for various Activity offerings will be stated in the description of such Activity. Certain activities may not be open to participants under 21 years of age if the content of such activity is unsuitable for underage guests and/or as may be required by applicable law. Additionally, Certain activities may be open to participants under 18 only if accompanied by an adult or with pre-approved written consent of a parent or legal guardian, as indicated. We reserve the right to cancel Activity bookings of those who do not meet stated age or other requirements.

Bookings

How to Book

We require credit or debit card details from you to confirm your booking.

For stays at our properties, at the time of booking, your card will be charged a deposit equivalent to one night’s stay, which is refundable when your booking is cancelled more than 72 hours prior to check-in. For reservations made within seventy-two (72) hours of scheduled arrival, the deposit collected is non-refundable. The fee balance for the remainder of your stay, plus an incidentals fee of fifty dollars ($50) per day, will also be pre-authorized on your payment card; any overage amounts will be refunded at the conclusion of your stay.

Your card will be charged according to the terms of the rate policy unless one of the events specified below occurs, for example if you cancel your booking after the allotted time. For more details of how we will process your personal data and credit or debit card details for your reservation please see our privacy policy.

You will receive a confirmation email from us with a reservation number, dates of your stay, type of accommodations booked, and corresponding rates for your stay.

The price of your stay will be the price indicated when you make your reservation via the Service or as communicated to you if you placed your booking by telephone or email. Please check the price in your confirmation email. We will do our best to ensure that the price advertised to you is correct however, it is always possible that some of our room charges may be incorrectly priced. We will confirm the price of your stay in our confirmation email, so please double-check that when you receive it and let us know if you notice any abnormalities. Where there has been an obvious discrepancy between our room charges and the price stated on our website or otherwise communicated to you, we reserve the right to charge our correct rate for such accommodations or to cancel your reservation.

Changing Your Booking

If you wish to make a change to your booking, please contact us using the details listed in the Contact Us section below or you can amend your booking via your Account settings on the Service. Depending on when you make the change, there may be fees associated with this 4 action. We will let you know if the change is possible, and any applicable fees related to such change. We will send you a confirmation email if the change is accepted.

Cancelling Your Booking

Where your reservation includes the flexibility to cancel your reservation, you may cancel your booking up to 3:00 pm local time (i.e., 18:00 local time) three (3) days before your arrival date (the “Cancellation Deadline”) without penalty.

If you wish to cancel your booking, please contact us by using the information provided in the ‘Contact Us’ section below. Alternatively, you may also cancel your booking through the Service. All cancellations (and any applicable charges/refunds) are subject to the Cancellation Deadline.

If we receive your cancellation request by no later than the applicable Cancellation Deadline, there will be no charge in relation to your cancellation, and you will receive a full refund. Any cancellation request we receive after the applicable Cancellation Deadline will be subject to a fee equivalent to the cost of the stay for one night in the Room or Pod you had booked, including any VAT/applicable taxes in relation to that Room or Pod charge (i.e., your deposit). This cancellation fee will be charged to the card details you supplied to us at the time of making your booking. This cancellation fee will also apply if you fail to arrive for your stay at STAY OPEN, and a prepaid reservation will incur the entire stay charge.

Certain types of bookings, as indicated at time of election, are non-cancellable and non- refundable.

We will do our best to avoid having to cancel your booking, however, where necessary, we reserve the right to cancel your booking at any time. In such circumstances, we will provide you with a full refund and we will have no further liability to you in relation to the cancellation.

Checking in and out

Unless otherwise agreed, the check-in time is 3:00 pm and we kindly ask that all guests depart by no later than 11:00am on their departure date. Guests that would like to request a late check-out may purchase a Day Pass at the current applicable rate, subject to availability. A Day Pass will provide the guest with additional access to the property from 11am until 5pm on the departure date. Should you purchase a Day Pass but not depart by the 5pm cutoff, STAY OPEN reserves the right to charge a $100 late fee to the card on file. Please note that for any guest fails to abide by the check-out policy and returns after hours, such guests belongings may not be accessible until operating hours the next day. Management reserves the right, in its sole discretion, to refuse to store any personal property of guests.

Additionally, guests who wish to request an early check-in, may purchase a Day Pass at the current applicable rate, to allow them access to the Property prior to 3pm check-in time. Day Passes for early check-in are subject to availability and capacity.

Security

In the interests of security and the prevention of fraud, we may ask you to confirm your identity by providing your passport or other form of government issued photo identification upon arrival.

Bookings Made via Third Parties

In the event you booked your stay via a third party site rather than directly through us, you are subject to the terms and conditions of such provider, which may be different than this policy. Accordingly, you may be subject to additional fees imposed by such provider, in addition to and separate from those charged by STAY OPEN.

Health and Safety Requirements as Condition of Booking

You acknowledge and agree that any and all stays at a STAY OPEN property are subject to federal, state, and local health and safety requirements then in effect. These include, but are not limited to, any requirements concerning the COVID-19 virus, namely demonstrating proof of complete vaccination (at least 14 days have passed since receiving your second shot of Pfizer or Moderna vaccines or the single-shot Johnson & Johnson vaccine) or a negative test within 72 hours of your arrival date as a condition of stay. You represent and warrant that you will be able to provide such documentation for yourself and each member of your party, and that failure to do so at check-in will result in the cancellation of your stay with penalty.

Further, to the extent you book any activities via the Service, you represent, warrant, and covenant that all of the following are true and correct: (i) you are of sound mind and body and do not suffer from any illness, impairment, disease or other condition that would prevent you from safely participating in the activity; (ii) no physician, general practitioner or other medical care provider has ever informed you that you have a heart condition, have high blood pressure, or that you should only do physical activities recommended by a physician or general practitioner; (iii) you do not have a medical, physical or mental condition that would prevent you from properly and safely engaging in the activity or put you in any physical or medical danger as a result of participating in the activity; (iv) you agree to follow the recommendations of medical professionals regarding engaging in exercise; (v) you are not pregnant, breastfeeding or lactating; and (vi) you do not know of any other reason you should not, or are limited with respect to, exercise. If any of the foregoing statements ceases to be true at any time, you acknowledge and agree that you must cease such activities until you specifically consult with your physician and your physician approves your resumption of the same.

Charges

Hospitality Accommodations Charges; Incidentals

All charges incurred during your stay, for example food and beverage charges and any room charges which you have not paid for in advance, must be settled when checking out. We will charge the credit card provided in your Account unless you provide a different method of 6 payment at check in. Please let us know before you depart if you notice any abnormalities in any charges that have been assigned to your room.

Activities/Experiences

STAY OPEN offers a variety of supplemental elective experiences, ranging from health and fitness activities to classes and lectures to cultural outings (each an “Activity” and collectively “Activities”). Depending on what you choose, these Activities can be selected on an a-la-carte basis or you can purchase a series of classes which may allow for the price-per-offering to be less in the aggregate than a single purchase.

Activities vary by STAY OPEN location, and are subject to change. Certain offerings may have availability limitations and reservations are determined on a first-come, first served basis.

Please be advised that the content of such Activities is not monitored by STAY OPEN. While we make every attempt to provide Activities which our Members will hopefully enjoy, please provide feedback so that we can revise and improve our offerings as applicable. Not all Activities are available or suitable for all Members and may have age restrictions, health requirements, or parental consent requirements to participate.

Conditions of purchase for each Activity will be set forth on the Service. Generally, Activity purchases are non-refundable, but you may be able to apply a portion of the cost of your purchase to a future Activity, subject to a re-booking fee.

For Users over 13 years of age but under 18 years of age, your ability to book Activities is conditioned upon the express consent of your parent or legal guardian, who will be fully responsible for providing us with an authorized payment card linked to your account to incur any and all fees for such Activities.

Certain Activities may also require your execution of additional documentation to confirm your health condition prior to your participation.

Property Damage

We kindly ask that all guests respect STAY OPEN Rooms, Pods, common areas, facilities and recreational equipment. In the event that there is any damage to your Room(s)/Pod(s) during your stay or if any items are missing from your Room(s)/Pod(s) upon your departure, we reserve the right to charge the card you have used to secure your booking a reasonable fee in respect of such damage and/or missing items. Additionally, STAY OPEN offers recreational equipment such as bicycles for guest use. If you check out a bike for use and do not return the bike, we reserve the right to charge a replacement fee of $500.

During Your Stay

Noise

All guests are asked to respect our other guests and nearby residents when in their room, hallways, any other premises of the hotel property or while in the surrounding area.

No Smoking

No smoking or vaping is permitted inside STAY OPEN at any time, whether in your room or elsewhere. STAY OPEN has designated smoking areas and our staff will happily advise you of their location upon request. We reserve the right to charge the card you have used to secure your booking, a reasonable fee in respect of specialist cleaning in the event we suspect smoking has taken place in your room(s) and/or Pod(s) during your stay. We also reserve the right to terminate the remainder of your stay in the event that we find you have failed to comply with our smoking policy. Please be mindful of local laws, as smoking and vaping are prohibited in many public spaces where STAY OPEN is located.

Guests

Currently our Venice Beach property has a no guest policy due to limited space. Should you wish to provide a tour to an unregistered guest, please coordinate with property staff, subject to availability Monday, through Friday, 9am to 5pm.

Animals/Pets

Unless explicitly stated otherwise by STAY OPEN or as required by law, no animals will be allowed in STAY OPEN.

Conduct

We kindly ask that you respect our other guests and refrain from any improper, violent or abusive behavior and any illegal conduct at all times during your stay. Do not make other people feel unsafe, harassed or threatened. Sexual harassment and discouraged advances will not be tolerated. No discrimination or harassment on the basis of race, gender, sexual orientation or otherwise will be tolerated. We reserve the right to ask you to leave the premises and cancel the remainder of your stay (the cost of which will be charged to the card you have used to secure your booking) in the event that you fail to respect this policy or other policies which may be imposed by STAY OPEN prior to or during the duration of your stay (which STAY OPEN may determine in its sole and absolute discretion whether a member has respected, observed, complied with or violated such policies).

STAY OPEN’S Rights

Your violation of, or failure to comply with, any STAY OPEN policies may, at STAY OPEN’s sole discretion, result in a revocation of your access and usage privileges at the applicable property and all of your associated benefits, rights, and permissions at such property, and immediate termination of your stay.

You expressly acknowledge that STAY OPEN is not responsible for events, incidents, or occurrences which are beyond its control, including but not limited to the conduct of other guests who violate our policies and the resulting impact of same.

Damages/Losses/Injuries

Personal Items

STAY OPEN makes reasonable efforts to provide a secure environment at our properties. Nevertheless, the risk of theft, damage or loss of our guests’ personal possessions cannot be eliminated entirely and we strongly advise you against bringing valuable items such as jewelry or large amounts of cash to STAY OPEN. Management reserves the right, in its sole discretion, to refuse to store any personal property of guests. Co-living guests will be provided lockers to store their smaller personal items and luggage, however, STAY OPEN will not be liable for theft, damage and/or loss, whether items were secured in a personal locker or not.

Injury

We shall not be liable to any guest for any loss, damage or injury suffered by our guests or to their property. However, this does not exclude or limit in any way our liability where it would be unlawful to do so, and which includes liability for death or personal injury caused by our negligence (or the negligence of our employees, agents or subcontractors) and for fraud or fraudulent misrepresentation.

Health and Safety

You expressly understand and agree that while STAY OPEN has implemented health and safety protocols designed for the well-being of our employees, staff, visitors, patrons, and guests, we cannot guarantee your health and safety from certain inherent risks concerning airborne transmissible viruses, including but not limited to COVID-19 and its variants. You agree that we shall not be liable to any guest for any illness, injury, or death arising out of, relating to, or in connection with such viruses, except to the extent required by law.
